Please read these terms carefully before placing an order or engaging in any business with Changshu Mefiss Hometex Co., Ltd.
Overview & Acceptance
These Terms of Service ("Terms") govern all business transactions between Changshu Mefiss Hometex Co., Ltd. ("Mefiss," "we," "us") and our clients ("you," "Buyer"). By placing an order, signing a contract, or engaging in any commercial activity with Mefiss, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Business Scope
B2B bulk manufacturing of home textile products including pillows, mattresses, quilts, cushions, mats, and pet textile products. OEM & ODM services available.
Order Policy & MOQ
All orders are subject to written confirmation. A purchase order or signed contract constitutes a binding agreement. The following policies apply to all orders placed with Mefiss.
Minimum Order Quantity
- • Pillows: 500-3,000 pcs per style
- • Mattresses: 100-1,000 pcs per style
- • Small orders accepted with adjusted pricing
Lead Time
- • Orders ≤ 5,000 pcs: approx. 20 days
- • Orders ≤ 10,000 pcs: approx. 30 days
- • Lead time starts after deposit received
Cooperation Process
Sample Policy: Samples are charged at 3× the bulk unit price. Sample fees are partially refundable upon placement of a confirmed bulk order. Sample lead time is typically 7-15 business days depending on product complexity.
Payment Terms
All transactions are conducted in USD unless otherwise agreed in writing. The following standard payment structure applies to all bulk production orders.
Due upon order confirmation and before production commences. Production begins only after deposit is received.
Due against Bill of Lading (B/L) copy. Payment must be received before or upon presentation of shipping documents.
Payment Method: Telegraphic Transfer (T/T) is the standard method. Other methods may be discussed and must be agreed upon in writing prior to order confirmation.
Currency: All prices are quoted in USD. Exchange rate fluctuations are the responsibility of the Buyer.
Late Payment: Mefiss reserves the right to delay shipment or cancel orders where payment obligations are not met within the agreed timeframe.
OEM & ODM Services
Mefiss offers both Original Equipment Manufacturing (OEM) and Original Design Manufacturing (ODM) services. Our design and engineering team provides comprehensive support throughout the development process.
OEM Service
Your Design, Our Production- • Production based on Buyer's specifications, artwork, and approved samples

ODM Service
Our Design, Your Brand- • Mefiss handles product concept, design, and development

Customization Scope
Intellectual Property & Confidentiality
Mefiss places the highest value on intellectual property rights and client confidentiality. Respect for original design and client privacy is a core part of our corporate culture.
Design Confidentiality
All customer samples, technical drawings, design concepts, and product specifications are treated as strictly confidential. Mefiss will not disclose, share, or reproduce any such materials without the Buyer's explicit written permission.
Customer Data Isolation
Customer information, order data, and business communications are stored independently and securely. Customer data will not be disclosed to third parties without authorization.
No Unauthorized Reproduction
Customer products and designs will not be modified, replicated, or sold to any third party. Mefiss will not use customer designs for any purpose other than fulfilling the agreed order.
Closed Production Facility
Our workshop is closed to unauthorized visitors to protect client product information during production. All staff are bound by internal confidentiality agreements.
Breach of IP Policy
Any breach of intellectual property or confidentiality obligations by Mefiss or its employees shall result in legal liability. Mefiss is committed to compensating Buyers for verifiable losses arising from such breaches.
Quality Control & Inspection
Mefiss maintains a rigorous multi-stage quality control process. All products undergo comprehensive inspection before shipment to ensure they meet agreed specifications and safety standards.

Testing Standards & Certifications
Remote Quality Control: Buyers may request video inspection, photo documentation, or appoint a third-party inspection agency at their own cost. Mefiss will provide full cooperation and access for such inspections.
Shipping & Logistics
Mefiss ships from Shanghai Port and Ningbo Port, both located within close proximity to our Changshu factory. We support all major shipping methods to accommodate global buyers.
Sea Freight
FCL & LCL available. Recommended for large bulk orders.
Air Freight
For urgent orders or smaller quantities requiring fast delivery.
Land Transport
Available for cross-border land routes where applicable.
Incoterms: Shipping terms (EXW, FOB, CIF, etc.) are to be agreed upon in the purchase contract. FOB Shanghai/Ningbo is the default unless otherwise specified.
Packaging: All products are packed in damp-proof bags and strong cartons suitable for international shipping. Custom packaging is available including PP/PE bags, zipper bags, non-woven bags, kraft boxes, and color boxes.
Risk Transfer: Risk of loss or damage transfers to the Buyer upon delivery to the agreed shipping point. Mefiss is not responsible for delays or damages caused by carriers, customs, or force majeure events after handover.
After-Sales Policy
Mefiss is committed to long-term partnerships. Our after-sales policy is designed to address quality issues fairly and promptly, protecting the interests of both parties.

Compensation for all verified quality claims
Claim Procedure: Buyers must submit quality claims within 30 days of receiving goods, accompanied by photos, videos, or third-party inspection reports. Claims submitted after this period may not be accepted.
Resolution Options: For valid quality claims, Mefiss will offer replacement, partial credit, or financial compensation depending on the nature and scale of the issue, as mutually agreed.
Exclusions: Claims arising from improper use, storage, or handling by the Buyer or end consumer are not covered. Mefiss is not liable for issues caused by Buyer-specified materials or designs that were approved prior to production.
Limitation of Liability & Governing Law
Force Majeure
Neither party shall be liable for delays or failures in performance resulting from acts beyond reasonable control, including but not limited to natural disasters, pandemics, government restrictions, port strikes, or war. The affected party must notify the other in writing within 5 business days of such an event.
Limitation of Liability
Mefiss's total liability to the Buyer shall not exceed the value of the order in question. Mefiss is not liable for indirect, consequential, or incidental damages including lost profits, loss of business, or reputational damage unless caused by gross negligence or willful misconduct.
Governing Law & Dispute Resolution
These Terms are governed by the laws of the People's Republic of China. Any disputes arising from or in connection with these Terms shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the competent court in Changshu, Jiangsu Province, or resolved through arbitration as mutually agreed.
Amendments
Mefiss reserves the right to update these Terms at any time. Updated Terms will be published on www.mefiss.com. Continued business engagement after publication constitutes acceptance of the revised Terms. For existing contracts, the Terms in effect at the time of signing shall apply.
